Terms of Service & End-User License Agreement

These Terms of Service and End-User License Agreement ("Terms") are a legal agreement between you and your organization ("you," "your," or "Customer") and Rockbound Solutions, LLC ("we," "us," or "our") governing your access to and use of the MedEffects web and mobile applications and related services (the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

1. The Service

MedEffects is a business-to-business platform that supports medical-device ordering, shipment tracking, insurance eligibility verification, and related billing for healthcare practices and our authorized representatives. The Service is not intended for consumers or the general public.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. We reserve all rights not expressly granted.

6. Third-party services

The Service integrates with third-party services, including Intuit QuickBooks Online (accounting and invoicing) and pVerify (insurance eligibility). Your use of those integrations may be subject to the third party's own terms, and you represent that you have the necessary rights and authorizations to connect and use them. We are not responsible for third-party services.

7. Intellectual property

The Service, including its software, design, and content (excluding your data), is owned by us or our licensors and is protected by intellectual-property laws. These Terms do not transfer any ownership to you.

8. Confidentiality

Each party will protect the other's non-public information disclosed in connection with the Service and use it only as needed to perform under these Terms, except as required by law.

9. No medical advice

The Service supports ordering, verification, and billing workflows. It does not provide medical advice and is not a substitute for professional clinical judgment. Eligibility results are provided by payers and third-party services and may be incomplete or subject to change; they are not a guarantee of coverage or payment.

10. Disclaimers

Except as expressly stated, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

11. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of or related to the Service. Our total liability for any claim arising out of or related to the Service will not exceed the total amounts paid for the Service in the twelve (12) months before the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold us harmless from claims, losses, and expenses arising out of your use of the Service, your data, or your breach of these Terms, except to the extent caused by our own wrongful conduct.

13. Term & termination

These Terms apply while you use the Service. We may suspend or terminate access for violation of these Terms or to protect the Service or its users. Upon termination, your license ends; provisions that by their nature should survive (including §§7–12, 14) will survive. Handling of your data after termination is governed by our Privacy Policy and any applicable Business Associate Agreement.

14. Governing law

These Terms are governed by the laws of the State of Maryland, without regard to its conflict-of-laws rules, and the parties consent to the exclusive jurisdiction of the courts located there.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected in the "Last updated" date above and, where appropriate, communicated to you. Continued use after changes take effect constitutes acceptance.
